These Terms of Service (“Terms”) govern your access to and use of the Navdee website, applications, platforms, portals, software, tools, and related services (collectively, the “Services”) provided by Navdee, Inc. (“Navdee,” “we,” “us,” or “our”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

1. Eligibility

By using the Services, you represent and warrant that:

  • You are at least eighteen (18) years old;
  • You have the legal capacity and authority to enter into these Terms;
  • You will comply with all applicable laws and regulations;
  • You are not prohibited from using the Services under applicable law;
  • Any information you provide to Navdee is accurate, current, and complete.

If you access the Services on behalf of an organization or another individual, you represent that you have authority to bind that organization or individual to these Terms.

2. Description of Services

Navdee provides digital healthcare navigation, care coordination, administrative support, educational resources, communication tools, and related services designed to assist users with healthcare management and engagement.

Navdee may provide:

  • Care coordination tools;
  • Healthcare advocacy support;
  • Scheduling and communication tools;
  • Educational content and resources;
  • Administrative assistance;
  • Employer sponsored services;
  • Data management and reporting tools.

Navdee reserves the right to modify, suspend, or discontinue any part of the Services at any time without liability.

3. No Medical Advice or Emergency Services

THE SERVICES ARE PROVIDED FOR INFORMATIONAL, CARE COORDINATION, AND ADMINISTRATIVE PURPOSES ONLY.

Navdee does not provide medical advice, diagnosis, treatment, or emergency medical services.

Any content provided through the Services, including communications from care coordinators, advocates, support staff, or third parties, is not intended to replace consultation with qualified healthcare professionals.

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR CONTACT EMERGENCY SERVICES IMMEDIATELY.

You should always seek advice from qualified medical professionals regarding medical conditions, treatment options, medications, or healthcare decisions.

4. User Accounts

User refers to everyone who accesses or uses Navdee’s products and services, including Patients, Authorized Representatives, Advocates, and Clients. To access certain Services, users may be required to create an account.

You agree to:

  • Maintain the confidentiality of your login credentials;
  • Notify Navdee immediately of unauthorized account access;
  • Accept responsibility for activities occurring under your account;
  • Provide accurate and current information.

Navdee reserves the right to suspend or terminate accounts that violate these Terms. Navdee is not liable for harm or losses incurred by you or a third party resulting from unauthorized use of your account.

5. Privacy

Your use of the Services is subject to the Navdee Privacy Policy.

By using the Services, you consent to the collection, use, disclosure, and processing of information as described in the Privacy Policy.

Where applicable, Navdee may collect, store, process, or transmit protected health information (“PHI”) subject to HIPAA and other healthcare privacy laws.

6. Authorized Users and Third Parties

If you use the Services on behalf of another individual, including a dependent, family member, patient, or care recipient, you represent and warrant that you are authorized to:

  • Access their information;
  • Share information with Navdee;
  • Act on their behalf;
  • Consent to these Terms on their behalf.

You are solely responsible for obtaining all necessary permissions and consents.

Navdee is not responsible for disputes arising from unauthorized access, invitations, or information sharing.

7. Acceptable Use

You agree to use the Services only for lawful purposes.

You shall not:

  • Violate any applicable laws or regulations;
  • Submit false, misleading, or fraudulent information;
  • Interfere with the operation or security of the Services;
  • Attempt unauthorized access to systems or data;
  • Reverse engineer or copy the Services;
  • Upload malicious code or harmful software;
  • Harass, abuse, threaten, or harm others;
  • Use automated tools to scrape or crawl the Services;
  • Infringe intellectual property rights;
  • Transmit unlawful, obscene, defamatory, or offensive content;
  • Use the Services for competitive analysis or benchmarking;
  • Impersonate another person or entity.

Navdee reserves the right to investigate and take legal action regarding prohibited conduct.

8. Matching Users to Health Advocates

Navdee may use proprietary technology to connect users, advocates, caregivers, or other participants for healthcare navigation, care coordination, and support services.

These connections may be based on various factors, including but not limited to:

  • User preferences and stated needs;
  • Healthcare or support requirements;
  • Geographic location;
  • Service availability;
  • Experience, qualifications, or specialization;
  • Language preferences;
  • Employer sponsorship;
  • Other operational or matching criteria determined by Navdee.

These processes are intended to help align users with resources, personnel, or services that may best meet their needs. Users may request reassignment or alternative support options where available.

Notwithstanding the foregoing, Navdee does not control and is not responsible for any aspect of any interaction, including without limitation:

  • The quality, appropriateness, safety, accuracy, timeliness, or effectiveness of services;
  • The conduct, actions, omissions, or performance of any Participant;
  • Scheduling, cancellations, delays, or availability;
  • Communications or interactions between Participants; or
  • Outcomes resulting from any services provided.

Users are solely responsible for evaluating, selecting, supervising, and monitoring any services or providers they engage through or in connection with the Services.

Accordingly, Navdee makes no representations, warranties, guarantees, or covenants regarding any interactions, Participants, recommendations, referrals, matching decisions, automated processes, or services provided through or in connection with the Services.

9. User Content

Users may submit communications, files, feedback, comments, or other materials (“User Content”) through the Services.

You retain ownership of your User Content, but you grant Navdee a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, modify, display, distribute, and otherwise process User Content for purposes related to operating, improving, and providing the Services.

You represent and warrant that:

  • You own or have rights to the User Content;
  • The User Content does not violate laws or third-party rights;
  • The User Content is accurate and lawful.

Navdee may remove or restrict User Content at its discretion.

10. Intellectual Property

The Services, including all software, content, text, graphics, logos, trademarks, service marks, interfaces, designs, and related materials, are owned by or licensed to Navdee and are protected by intellectual property laws.

Except as expressly permitted, users may not:

  • Copy or reproduce the Services;
  • Modify or create derivative works;
  • Reverse engineer software;
  • Use Navdee trademarks without permission;
  • Sell, sublicense, or commercially exploit the Services.

All rights not expressly granted are reserved by Navdee.

11. Third-Party Services and Links

The Services may contain links to third-party websites, providers, vendors, or applications.

Navdee does not control or endorse third-party services and is not responsible for:

  • Their content;
  • Privacy practices;
  • Conduct;
  • Security;
  • Accuracy;
  • Availability;
  • Products or services.

Your interactions with third parties are solely between you and those third parties, and you access and use them at your own risk.

12. Payments and Fees

Certain Services may require payment.

If applicable, you agree to:

  • Pay all applicable fees;
  • Provide accurate billing information;
  • Authorize payment processing;
  • Comply with third-party payment processor terms.

Fees are non-refundable except where required by law or expressly stated otherwise.

Navdee may change pricing at any time upon notice.

13. Sponsored Services

Some Services may be sponsored by employers or other organizations.

Access to sponsored Services may be subject to additional agreements or eligibility requirements.

Navdee may share limited information with sponsoring organizations as permitted by applicable law, contractual obligations, and the Privacy Policy.

14. HIPAA and Health Information

To the extent Navdee handles protected health information (“PHI”), Navdee will comply with applicable requirements under HIPAA and related healthcare privacy laws.

Certain information may also be governed by separate Notices of Privacy Practices provided by healthcare providers or health plans.

15. Consent and Authorization for Recording

By accepting these Terms of Service, you grant Navdee, LLC., its affiliates, subsidiaries, service providers, representatives, contractors, agents, licensors, and assigns (collectively, the “Authorized Parties”) consent, authorization, and permission to record, reproduce, transcribe, store, monitor, and utilize audio, electronic, digital, written, and/or other forms of recordings or transcripts (collectively, the “Recordings”) of interactions occurring in connection with the Services.

Such interactions may include communications between users and Navdee personnel, care coordinators, advocates, support representatives, healthcare navigation staff, vendors, providers, or other authorized Participants.

The Recordings may include verbal communications, call recordings, chat transcripts, support communications, and related interaction data, including information that may constitute personal information or protected health information (“PHI”), subject to compliance with applicable laws and regulations, including the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as amended, and other applicable federal, state, and local privacy laws.

The Recordings may be used by the Authorized Parties for lawful business and operational purposes, including but not limited to:

  • User support and care coordination;
  • Documentation and recordkeeping;
  • Quality assurance and service improvement;
  • Training and workforce development;
  • Compliance, auditing, and risk management;
  • Security monitoring and fraud prevention;
  • Legal and regulatory obligations;
  • Analytics, reporting, and research; and
  • Other operational purposes consistent with applicable law.

You further acknowledge and agree that, except as otherwise required by applicable law, the existence of such Recordings does not create any independent expectation of privacy or confidentiality beyond the protections otherwise required under applicable privacy and security laws.

To the maximum extent permitted by law, you waive, release, and discharge the Authorized Parties from any and all claims, demands, liabilities, damages, losses, or causes of action arising out of or relating to the creation, collection, recording, transcription, storage, disclosure, use, dissemination, retention, or destruction of the Recordings, except to the extent caused by the Authorized Parties’ willful misconduct or violation of applicable law.

16. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVDEE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • SAFE;
  • RELIABILITY;
  • TIMELY;
  • SECURITY;
  • AVAILABILITY.

Navdee makes no warranty, representations, or assurances that:

  • The Services will be uninterrupted or error-free;
  • Defects will be corrected;
  • The Services are free of viruses or harmful components;
  • Information or content obtained from use of the Services will be accurate or reliable. Such information or content is subject to change without notice.

Use of Navdee’s products and services is at your sole and exclusive risk.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVDEE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

  • DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • UNAUTHORIZED ACCESS OR USE;
  • INFORMATION PROVIDED;
  • FEES AND FINES;
  • LOSS OF DATA;
  • LOSS OF GOODWILL;
  • BUSINESS INTERRUPTION

RELATED TO YOUR USE OF OR INABILITY TO ACCESS NAVDEE’S PRODUCTS AND SERVICES.

This limitation applies whether based in contract, tort, negligence, strict liability, or otherwise.

IF IT IS DETERMINED THAT NAVDEE IS LIABLE TO YOU, TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVDEE’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • SIX HUNDRED DOLLARS ($600).

18. Indemnification

You agree to defend, indemnify, and hold harmless Navdee and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, injuries, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

  • Your use and access or Authorized Representative use and access of the Services;
  • Your violation of these Terms;
  • Your violation of applicable laws;
  • Your User Content;
  • Your infringement of third-party rights.

19. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

To the maximum extent permitted by law, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”).

YOU AND NAVDEE AGREE TO WAIVE THE RIGHT TO A JURY TRIAL.

YOU AND NAVDEE AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS ACTION, REPRESENTATIVE ACTION, OR COLLECTIVE PROCEEDING.

Arbitration shall take place in San Diego, California, unless otherwise required by applicable law.

Nothing in this section prevents either party from seeking injunctive relief regarding intellectual property or unauthorized access issues.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Subject to the arbitration provisions above, any legal proceedings shall be brought exclusively in the state or federal courts located in San Diego County, California.

21. Termination

This agreement can be terminated by you or Navdee. You can cancel your account and discontinue the use of our Services.

Navdee may suspend or terminate access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination:

  • Your right to use the Services immediately ends;
  • Certain provisions of these Terms survive termination, including intellectual property, indemnification, arbitration, disclaimers, ownership, and limitations of liability.

22. Modifications to Terms

Navdee may revise these Terms at any time.

Updated Terms will be posted with a revised “Last Updated” date.

Continued use of the Services following updates constitutes acceptance of the revised Terms.

23. Electronic Communications

By using the Services, you consent to receive electronic communications from Navdee, including:

  • Service notices;
  • Account updates;
  • Transactional messages;
  • Legal notices;
  • Marketing communications (subject to applicable opt-out rights).

Electronic communications satisfy legal communication requirements.

25. DMCA and Copyright Complaints

If you believe content on the Services infringes your copyright rights, please submit a written notice containing:

  • Description of the copyrighted work that is believed to be infringed, including its location;
  • A statement under penalty of perjury that your claim is accurate and you are the copyright owner or authorized to act on the copyright owner’s behalf;
  • Your contact information and signature.

26. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

27. Waiver

Failure by Navdee to enforce any provision of these Terms does not constitute a waiver of that provision.

28. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Navdee regarding the Services.
